I. Introduction & Acceptance of Terms

Welcome to QUOREVIA. By accessing or using our platform, services, or any part thereof (the "Platform"), you agree to be bound by these Terms and Conditions ("T&C"). These T&C constitute a legally binding agreement between you and QUOREVIA. If you do not agree with any part of these T&C, you must not use the Platform.

II. Definitions

QUOREVIA Platform: Refers to the website, services, features, and applications provided by QUOREVIA.
User: Any individual accessing or using the Platform, whether as a Collector or a Creator.
License: A digital right, granted by QUOREVIA, to use and, potentially, redistribute an associated Artwork. Licenses are unique and traceable within the Platform.
Artwork: The dynamically generated abstract digital image associated with a License.
Collector: A User who holds an unstamped License, primarily for personal use within the Platform.
Creator: A User who has stamped a License, thereby activating redistribution rights and accessing Creator-specific benefits.
Stamping: The process of converting an unstamped License into a stamped License, which involves paying a fee to QUOREVIA and unlocks Creator status and redistribution rights for that specific License.
Circulation: The transfer of a License's ownership from one User to another within the Marketplace, increasing its `resale_count`.
Marketplace: The peer-to-peer trading zone within the QUOREVIA Platform where Users can buy and sell Licenses directly with each other.
System User / Platform: Refers to QUOREVIA as the entity that initially mints and manages the pool of Licenses.
Deposited Funds (Wallet Balance): Funds added by the User to their QUOREVIA wallet via integrated payment gateways for use within the Platform.
Earned Funds (Withdrawable Balance): Funds accrued by the User from successfully selling Licenses on the Marketplace.

III. Nature of QUOREVIA's Service

QUOREVIA operates as a platform facilitating the licensing and redistribution of unique digital art. We provide the tools and infrastructure for Users to engage in a dynamic art economy.

QUOREVIA is NOT a Financial Institution

QUOREVIA is NOT a bank, payment processor, or financial institution. We do not hold User funds in a custodial or fiduciary capacity for peer-to-peer transactions. Our role in peer-to-peer trades is limited to matching buyers and sellers, holding Licenses in escrow during a trade, and facilitating License transfer upon mutual confirmation of external payment. We do not process direct User-to-User payments.

All funds deposited to the platform can only be used to buy licenses directly from the platform or to stamp licenses. Such funds are NOT withdrawable. We are not a financial institution that holds people's money for general withdrawal.

QUOREVIA is designed as a global platform, supporting Users from all supported countries and facilitating transactions in various local currencies, converted against a USD equivalent baseline.

IV. User Accounts & Registration

To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for maintaining the confidentiality of your account password.
Your country and registered currency will be noted, and you will be restricted to trade in that currency.

V. License Acquisition & Ownership

5.1 License, Not Copyright

When you acquire a License on QUOREVIA, you are acquiring a license to use and/or redistribute the associated Artwork as per these T&C. You are NOT acquiring ownership of the Artwork's underlying copyright or intellectual property rights. QUOREVIA retains all original intellectual property rights to the dynamically generated Artworks.

5.2 Initial Purchase (from Platform)

Licenses are assigned from QUOREVIA's pre-generated pool upon successful payment via integrated payment gateways (e.g., Paystack).
Funds paid via payment gateway for initial purchases are considered Deposited Funds and can **ONLY** be used for purchasing Licenses directly from QUOREVIA or for paying Stamping Fees. These funds are **non-refundable and non-withdrawable**.
Any excess payment beyond whole License units (e.g., fractional USD equivalent after conversion) will be credited to your Deposited Funds (Wallet Balance).
Licenses are initially issued as unstamped.

5.3 Stamping & Creator Privileges

The process of Stamping converts an unstamped License into a stamped License.
A 2% stamping fee (calculated on the License's base value, e.g., 2% of $1 USD equivalent) applies to each License stamping. This fee is collected by QUOREVIA from your Deposited Funds.
Stamping activates your Creator role for that specific License, granting you redistribution rights and allowing you to list the License on the Marketplace.
Stamped Licenses may include a visual imprint of their unique License Number.

5.4 Collector Privileges (Unstamped Licenses)

As a Collector holding an unstamped License, you are granted the right to:

View the Artwork within the Platform.
Download the Artwork for your personal, non-commercial display and use.

You are NOT permitted to redistribute, sell, share publicly, or modify unstamped Artworks.

5.5 Bonus Licenses (10%)

As an incentive for active participation, Users who stamp Licenses will be awarded 10% bonus Licenses based on the quantity stamped. These bonus Licenses are newly minted by QUOREVIA from the unallocated pool and are assigned to you as already-stamped. These bonus Licenses contribute to your Earned Funds when resold.

VI. Marketplace & Peer-to-Peer Trading

6.1 Listing Licenses (Seller Role)

Only stamped Licenses can be listed for sale on the Marketplace.
When listed, your Licenses are moved to an 'escrowed' status by QUOREVIA, ensuring they are held securely during the trade process.
You are responsible for the accuracy of your listing details (quantity, price, currency).
Sellers must provide accurate and verifiable banking details and a phone number, which will be shared with the buyer for direct payment.

6.2 Buying Licenses (Buyer Role)

Buyers can place buy requests or purchase directly from existing listings on the Marketplace.
Payment Process (CRITICAL): As QUOREVIA does not handle peer-to-peer funds, Buyers are solely responsible for making direct, external payments to the Seller's provided banking details (e.g., bank transfer, mobile payment). You acknowledge and agree that QUOREVIA does not process or guarantee these external financial transfers.
Buyers must confirm payment on the Platform *after* completing the external transfer.

6.3 Trade Confirmation & License Transfer

Both the Buyer and Seller must confirm their respective actions (Buyer confirms payment sent, Seller confirms payment received) on the Platform.
Licenses are transferred from the Seller to the Buyer only upon mutual confirmation.
Upon successful transfer, the License returns to an unstamped state for the new owner. The `stamped_image_filename` associated with the new owner's record will be cleared, requiring them to re-stamp if they desire Creator privileges for redistribution.

6.4 Dispute Resolution (Peer-to-Peer)

QUOREVIA may provide mechanisms for dispute resolution related to trade confirmations (e.g., if one party fails to confirm). However, QUOREVIA is **NOT liable for any financial losses, scams, non-payment, or disputes arising from direct peer-to-peer external financial transactions.** Users engage in external payments at their own risk.

VII. Artwork & License Lifecycle

Generated Artworks: Artworks are unique, abstract, and procedurally generated by QUOREVIA's algorithms. Users acknowledge the nature of algorithmic art, where visual aesthetics may vary.
License Scarcity: Each License has a circulation limit. After 30 transfers (`resale_count`), the License reaches its limit.
Archived/Locked Status: Once a License reaches its circulation limit, its status will be set to 'archived' (`is_locked = 1`). Archived Licenses can no longer be transferred, sold, or stamped. They remain viewable in a User's portfolio but are removed from active circulation in the Marketplace.
Burned Status: (If applicable, describe conditions for burning licenses here, e.g., user-initiated, platform-initiated).

VIII. Funds and Payments (Platform-Side)

CRITICAL: Distinction Between Deposited and Earned Funds

Deposited Funds (Wallet Balance): Funds added to your QUOREVIA wallet (e.g., via Paystack) can **ONLY be used for services within the QUOREVIA platform (to buy Licenses directly from QUOREVIA or to pay Stamping Fees). These funds are NON-REFUNDABLE and NON-WITHDRAWABLE.**

Earned Funds (Withdrawable Balance): These are funds you receive from successfully selling Licenses to other Users on the Marketplace. This is the **ONLY balance from which you can request withdrawals**, subject to QUOREVIA's withdrawal policies (e.g., minimum amounts, processing times, verification requirements).

All internal calculations and external payments for platform services (purchases from QUOREVIA, stamping fees) are based on dynamic exchange rates against the US Dollar.

IX. User Conduct & Prohibited Activities

You agree to use the Platform in a lawful manner and in compliance with these T&C. Prohibited activities include, but are not limited to:

Engaging in fraudulent activity, misrepresentation, or scamming.
Attempting to circumvent payment processes for platform fees.
Providing false banking details or phone numbers.
Attempting to exploit system vulnerabilities.
Any activity that violates applicable laws in Nigeria or your country of residence.

X. Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which outlines how we collect, use, and protect your personal data. Please review our Privacy Policy.

XI. Disclaimers & Limitation of Liability

The QUOREVIA Platform is provided "as is" and "as available" without any warranties of any kind. QUOREVIA disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

QUOREVIA does not guarantee the continuous, uninterrupted, or error-free operation of the Platform. While we strive for accuracy, we do not warrant that product descriptions, prices, or other content on the Platform are accurate, complete, reliable, current, or error-free.

CRITICAL: Financial Responsibility Disclaimer for P2P Trades. QUOREVIA explicitly disclaims any and all liability for financial losses, scams, non-payment, delays in payment, or any other issues arising from direct peer-to-peer external financial transactions. Users engage in such external payments entirely at their own risk. QUOREVIA is not responsible for verifying external payment completion beyond User confirmation on the Platform.

To the fullest extent permitted by law, QUOREVIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform; (b) any conduct or content of any third party on the Platform; or (c) unauthorized access, use, or alteration of your transmissions or content.

XII. Indemnification

You agree to indemnify, defend, and hold harmless QUOREVIA, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or your violation of these T&C.

XIII. Modification of Terms

QUOREVIA reserves the right to modify these T&C at any time. We will notify Users of significant changes by posting the updated T&C on the Platform or through other communication channels. Your continued use of the Platform after the effective date of the revised T&C constitutes your acceptance of the changes.

XIV. Termination

QUOREVIA may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, in its sole discretion, including without limitation for breach of these T&C.

XV. Governing Law & Jurisdiction

These T&C shall be governed by and construed in accordance with the laws of Nigeria. You agree that any legal action or proceeding arising under these T&C will be brought exclusively in the courts located in Nigeria, and you consent to the personal jurisdiction of such courts.
